1. Acceptance of these Terms

These Terms form a binding agreement between you (“you”, the “Customer”) and EWall Solutions Pvt Ltd (“EWall Solutions”, “we”, “us”). They apply to the SaaS dashboard, the AI building agent, the EWall Web Genius Odoo modules, and any related documentation or APIs.

If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation.

2. Definitions

• Service — the EWall Web Genius SaaS backend, dashboard, and AI building agent we host, together with the EWall Web Genius modules you install in Odoo.
• Subscription — a paid plan that entitles you to bind one Odoo instance and use the Service to build and edit website pages.
• Access Token — the secret key issued for a Subscription that authorises the Service to connect to your Odoo instance.
• AI Provider — a third-party large-language-model or image-generation provider (e.g. Anthropic, OpenAI, Google, Groq, Mistral, OpenRouter) that you connect using your own API key.
• Generated Content — website pages, layouts, copy, images, and code the Service produces in your Odoo instance.
• Your Content — prompts, instructions, data, and material you submit to the Service or that resides in your Odoo instance.

3. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorised access.

Each account is verified by email. We may decline, suspend, or remove accounts at our discretion where required to protect the Service or comply with law.

4. The Service

The Service lets you build and edit Odoo website pages by describing them in natural language. The AI agent composes pages from native Odoo building blocks and writes them into your Odoo instance through an authorised connection. The Service also stores page-version snapshots so changes can be rolled back.

We may add, change, or remove features over time. We will not make changes that materially reduce the core functionality of a paid Subscription without notice where practicable.

5. Subscriptions & pricing

The Service is offered on a two-part model: a one-time fee of $149 to own your Subscription, plus a recurring fee of $5 per month to keep building. Prices are quoted in US dollars unless stated otherwise at checkout and are exclusive of any taxes, levies, or duties, which are your responsibility.

A Subscription entitles you to bind one Odoo instance. Additional instances require additional Subscriptions. We may update pricing for future billing periods; any change will be reflected at checkout or your next renewal and will not apply retroactively to fees already paid.

6. Billing, renewals & refunds

Payments are processed by our third-party payment providers (such as PayPal). We do not store your full card details. By submitting payment you authorise the applicable charge and represent that you are permitted to use the payment method.

Renewals

Recurring building fees renew for successive periods until cancelled. You may cancel future renewals at any time from your dashboard; cancellation stops further charges but does not retroactively refund the current period. If a renewal payment fails, access to building features may be suspended after any applicable grace period.

Refunds

Except where required by law, fees are non-refundable once the corresponding service period has begun. If you believe you were charged in error, contact [email protected] within 14 days and we will review the charge in good faith.

7. Bring-your-own AI keys

The Service uses a bring-your-own-key model. You supply your own API key for the AI Provider of your choice, and you contract directly with, and pay, that AI Provider for all token, image, and usage charges. Your Subscription fees do not include AI Provider usage.

Your use of any AI Provider is subject to that provider’s own terms and usage policies. You are responsible for keeping your API keys secure and for any usage and cost incurred under them. We are not responsible for AI Provider availability, pricing, rate limits, or output.

8. Your Odoo instance & access tokens

To build pages, you bind an Access Token to a specific Odoo instance. The Access Token authorises the Service to read and write website content in that instance on your behalf.

Information we access from your Odoo instance

To operate the Service, secure your Subscription, and build pages on your instruction, the Service accesses the following from your Odoo instance:

• A stable database identifier — your Odoo’s database.uuid. We read this once at activation, and on subsequent requests, to bind your Access Token to a single instance and prevent the token from being reused on a different Odoo. It is an opaque identifier and is not used to track individuals.
• Your instance address and database name — your Odoo base URL and database name, so the Service can connect to the correct instance.
• Website identifiers — the website ID and name of the site you are editing, used only to route changes to the right website within your instance.
• Website page content — the layouts, snippets, page markup, and header / footer / menu structures the Service reads and writes to build and edit pages at your request, including the version snapshots it keeps so changes can be rolled back.

We access this information solely to provide the Service to you. We do not access unrelated business data in your Odoo instance, and the Access Token is restricted to the operations the Service requires. Our handling of any personal data within this information is described in our Privacy Policy.

You are responsible for:

• installing and maintaining the EWall Web Genius modules and your Odoo instance;
• keeping Access Tokens confidential and rotating them if compromised;
• maintaining your own backups — while the Service keeps page-version snapshots, it is not a substitute for full backups of your Odoo database;
• ensuring you have the rights to all content the Service edits or publishes on your behalf.

A token is bound to the Odoo instance it was activated for and may not be used on a different instance. We may refuse activations that fail our instance-identity checks.

9. Acceptable use

You agree not to use the Service to:

• violate any law or infringe the rights of others, including intellectual-property and privacy rights;
• generate or publish content that is unlawful, defamatory, hateful, deceptive, or sexually exploitative;
• attempt to gain unauthorised access to the Service, other tenants, or any system, or to circumvent authentication, rate limits, or security controls;
• probe, scan, overload, or disrupt the Service, or use it to send spam or malware;
• reverse engineer, resell, or sublicense the Service except as expressly permitted; or
• misuse AI Provider access in violation of the provider’s policies.

You remain solely responsible for content you choose to generate and publish.

10. AI-generated content

Generated Content is produced by AI models in response to your prompts. AI output can be inaccurate, incomplete, or unsuitable, and may unintentionally resemble existing material. You are responsible for reviewing, editing, and approving all Generated Content before relying on or publishing it.

11. Intellectual property

As between you and EWall Solutions, you own Your Content and, to the extent permitted by applicable AI Provider terms, the Generated Content created for your instance. You grant us a limited licence to process Your Content solely to operate and improve the Service for you.

The Service itself — including the software, dashboard, modules, design, and trademarks — is owned by EWall Solutions or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers ownership of the Service to you. The Odoo modules are licensed under the licence stated in their manifest.

12. Data & privacy

We process account, billing, and operational data to provide the Service. Prompts and page content are transmitted to your chosen AI Provider to fulfil your requests. We apply reasonable technical and organisational measures to protect data in our care, including encryption of sensitive secrets at rest. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

13. Third-party services

The Service interoperates with third parties including Odoo, AI Providers, payment processors, and email providers. Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, availability, or content. Links or integrations do not imply endorsement.

14. Availability & support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or factors beyond our control. Support is provided on a reasonable-efforts basis by email at [email protected].

15. Disclaimer of warranties

16. Limitation of liability

To the maximum extent permitted by law, EWall Solutions and its affiliates, officers, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service in any twelve-month period will not exceed the total fees you paid to us for the Service during that period. This includes, without limitation, any charges incurred with AI Providers, for which we bear no liability.

17. Indemnification

You agree to indemnify and hold harmless EWall Solutions and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from Your Content, your Generated Content, your use of the Service, your use of AI Providers, or your breach of these Terms or of applicable law.

18. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to the Service or others. You may stop using the Service and cancel renewals at any time. On termination, your right to use the Service ends; provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

20. Governing law & disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts located in India will have exclusive jurisdiction over any dispute arising from these Terms or the Service, subject to any mandatory consumer-protection rights you may have in your place of residence.
